Wholesale Terms of Service

1. Eligibility Wholesale pricing and terms are available to approved businesses purchasing Noble Product Co. products for resale or professional Backbar use. By placing a wholesale order, you confirm that you are an authorized business and that products are purchased for resale or professional use, not personal consumption.

2. Account approval Wholesale accounts are granted at Noble's discretion. We may approve, decline, or revoke a wholesale account at any time.

3. Ordering and pricing There are no order minimums. Wholesale pricing is keystone based and is set by Noble. Prices, bundles, and program terms are subject to change at any time without notice. The price in effect at the time your order is placed applies to that order.

4. Payment Orders are paid in full at checkout unless separate written terms have been agreed with Noble. We reserve the right to refuse or cancel any order.

5. Resale conditions Partners agree to represent Noble products accurately and to maintain the quality and reputation of the brand. Partners may not sell Noble products on third-party online marketplaces (including but not limited to Amazon, eBay, Walmart Marketplace, and TikTok Shop) without prior written approval from Noble. Noble may communicate minimum advertised pricing from time to time, and partners agree to honor it.

6. Use of brand assets Noble grants approved partners a limited, non-exclusive, revocable license to use Noble names, logos, and marketing materials solely to promote the sale of Noble products. All intellectual property, trademarks, and formulations remain the exclusive property of Noble Product Co. This license ends when your wholesale account ends.

7. Returns and exchanges Wholesale orders are governed by the Noble Wholesale Return and Exchange Policy, which is provided separately and forms part of these terms.

8. Limitation of liability Products are provided "as is" to the fullest extent permitted by law. Noble Product Co,. LLC and its officers, employees, and agents are not liable for any indirect, incidental, or consequential damages arising from the purchase, resale, or use of our products. Our total liability for any claim is limited to the amount you paid for the products at issue.

9. Termination Either party may end the wholesale relationship at any time. Upon termination, any limited license to use Noble brand assets ends immediately.

10. Governing law These terms are governed by and construed in accordance with the laws of the State of Michigan, United States.

11. Changes Noble may update these terms at any time. Continued ordering after an update constitutes acceptance of the updated terms.
